Terms of Use
These Terms of Use (the "Terms") govern your access to and use of the Interface. Please read them carefully, together with the Risk Factors and Privacy sections below. By accessing or using the Interface, you agree to be bound by these Terms.
Terms of Use
1. Definitions and Scope
1.1 "Interface" means the websites and applications made available at tradeeverything.xyz and its subdomains, including the exchange, test and documentation sites.
1.2 "Protocol" means the smart contracts deployed on the HyperEVM blockchain with which the Interface enables you to interact.
1.3 "We", "us" and "our" refer to the operator of the Interface. "You" and "your" refer to the person accessing or using the Interface and any entity on whose behalf that person acts.
1.4 These Terms govern your use of the Interface only. The Interface is one of several means of accessing the Protocol. Your positions, deposits and balances are determined by the Protocol and by the rules published in the documentation.
2. The Protocol
2.1 The Protocol is software. Deposited assets are held by the Protocol's smart contracts and trades are settled according to the Protocol's code. You interact with the Protocol at your own risk.
2.2 You acknowledge that:
(a) orders and other requests signed by you are submitted to the blockchain by a relayer and by automated keepers operated by us, and may be delayed or rejected by the relayer's validation checks;
(b) prices used for fills, liquidations and settlements are sourced from the Pyth oracle and relayed through a price signer operated by us;
(c) deposits are made to a deposit address associated with your wallet and are transferred into the Protocol by keepers, and certain withdrawal routes operate in the same manner;
(d) profits are paid from the Protocol's liquidity pool, and where the pool has insufficient funds, unpaid profits are placed in a payout queue and may be paid late or not in full. Margin is not subject to the payout queue; and
(e) certain parameters, including the listing, pausing and retirement of markets, may be changed by administrators within limits set in the smart contracts.
3. Eligibility
3.1 To access or use the Interface, you represent and warrant that:
(a) you are at least 18 years of age and have full legal capacity to enter into these Terms;
(b) you are not a citizen or resident of, or located or incorporated in, the United States, and you are not acting on behalf of any such person (each, a "Restricted Person"), nor are you a resident of or located in any other jurisdiction in which access to the Interface is restricted;
(c) you are not the subject of sanctions administered or enforced by any governmental authority, including the U.S. Department of the Treasury's Office of Foreign Assets Control, nor owned or controlled by any such person, nor located in a comprehensively sanctioned country or region; and
(d) your access to and use of the Interface is lawful in your jurisdiction.
3.2 You shall not use a virtual private network, proxy or any other means to circumvent geographic restrictions or sanctions screening applied to the Interface.
4. Wallets
4.1 You access the Protocol through a third-party wallet. We do not have custody of, or access to, your private keys and cannot recover them.
4.2 A trading key generated by the Interface on your device may only submit trading instructions. Withdrawals require a signature from your wallet.
4.3 You are solely responsible for the security of your devices, wallets, keys and signatures.
5. Prohibited Use
5.1 You shall not:
(a) engage in any manipulative, deceptive, abusive or exploitative conduct, or any attempt to attack, exploit, interfere with or extract value from the Protocol or the Interface, including, without limitation, price manipulation, trading on stale, delayed or inaccurate prices, and exploiting errors, bugs or vulnerabilities;
(b) overload or disrupt the Interface, the relayer or the keepers, or scrape the Interface at volume; or
(c) use the Interface for money laundering, sanctions evasion, fraud or any other unlawful purpose.
6. No Advice
6.1 No content on the Interface constitutes financial, investment, legal or tax advice, or a recommendation to enter into any transaction. We are not your broker, adviser or fiduciary.
7. Disclaimer of Warranties
7.1 THE INTERFACE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE INTERFACE, THE PROTOCOL, THE ORACLE, THE BLOCKCHAIN OR ANY THIRD-PARTY SERVICE WILL BE ACCURATE, SECURE, UNINTERRUPTED OR ERROR-FREE.
8. Limitation of Liability
8.1 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, DIGITAL ASSETS, FUNDS OR DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE INTERFACE OR THE PROTOCOL, WHETHER IN CONTRACT, TORT OR OTHERWISE.
8.2 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
8.3 Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
9. Indemnification
9.1 You agree to indemnify and hold us harmless from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or relating to your breach of these Terms, your violation of any law, or your use of the Interface.
10. Assumption of Risk
10.1 You acknowledge that you have read and understood the Risk Factors set out below and accept those risks. You are solely responsible for your decisions to transact and for their outcomes.
11. Modifications and Access
11.1 We may modify, suspend or discontinue the Interface, or amend these Terms, at any time. Where these Terms are amended, you will be asked to accept the amended Terms before enabling trading or depositing.
11.2 We may restrict your access to the Interface if you breach these Terms, or where we reasonably consider it necessary to comply with applicable law or to protect users of the Interface.
12. General
12.1 If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
12.2 Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
12.3 You may not assign or transfer your rights or obligations under these Terms.
12.4 These Terms, together with the rules published in the documentation, constitute the entire agreement between you and us regarding the Interface.
Risk Factors
By using the Interface, you acknowledge and accept the following risks:
Leverage. Leveraged trading magnifies both gains and losses. A small price movement may result in the liquidation of a position and the loss of all margin committed to it.
Loss of Funds. You may lose all of the funds you deposit. You should not deposit funds you cannot afford to lose.
Synthetic Exposure. Positions are perpetual contracts referencing the price of an underlying asset. They do not confer ownership of any security or fund, or any voting, dividend or other shareholder rights. Prices may diverge from those on the underlying market, and liquidity outside regular trading hours may be limited.
Oracle and Keepers. Inaccurate, delayed or unavailable prices, or the failure of the relayer or keepers, may cause fills, liquidations or closures to occur at unexpected prices or times.
Smart Contracts and Blockchain. The Protocol's smart contracts may contain defects and may be paused or modified within their limits. Contracts on the test system have not been audited. The blockchain, bridges and wallets may fail, become congested or be subject to attack.
Payout Queue. Profits are paid from the liquidity pool. Where the pool is insufficient, profits are queued and may be paid late or not in full.
Price Promise. Entering into a Price Promise is economically similar to selling an option. You receive a premium and commit to buy or sell at a specified price, and losses may substantially exceed the premium received.
$EVERYTHING Token. The token has no promised value, may never have a market, and is non-transferable except into and out of staking. Reward and emission rules may change.
Regulatory Risk. Laws and regulations applicable to digital assets and derivatives are subject to change, which may restrict or prohibit access to the Interface or the Protocol.
Privacy
Wallet Data. Wallet addresses and on-chain activity are publicly visible on the blockchain. The Interface and relayer process them to display your account and process your requests. We record the wallet address, version and time of each acceptance of these Terms.
Technical Data. We collect technical data, including IP address and device and browser information, for security, fraud prevention and the application of geographic restrictions.
Local Storage. The Interface stores your trading key and preferences in your browser.
Disclosure. We do not sell personal data. We share data only with service providers that support the operation of the Interface, or where required by law.
